This agreement is between the “user” and Bayer CropScience Inc. Welcome to the Bayer CropScience STAR website. The STAR ( the “Site”) is comprised of multiple web pages designed and owned by Bayer CropScience Inc. This “site” is offered to you conditioned on your acceptance without modifications of the terms, conditions, and notices contained herein (the “Terms”). The use of STAR constitutes your agreement to all such terms. Please read the terms carefully. STAR is a Study Tracking and Research website for bidding, and tracking Bayer CropScience Inc. Research trials/studies. Bidding In using this Site, user expressly acknowledges and agrees that Bayer CropScience Inc.: (i) shall not be deemed to have received any bid submitted by the user unless and until the user receives a notification that the bid has been received; (ii) shall not be deemed to have accepted any bid unless and until a notification of award has been provided to the user; and (iii) retains the sole and unfettered discretion to accept or reject any bids submitted by the user for any reason whatsoever. Bayer CropScience Inc. makes no representation or warranty as to the adequacy, accuracy, or suitability for any purpose of any information supplied to the user in connection with the use of the Site and/or the submission of bids. Bayer CropScience Inc. shall not be responsible for or liable to the user (i) in the event of Site technical errors, defects, delays or failures of any kind including, without limitation, malfunctions, interruptions or disconnections in communications lines, Internet or website access, hardware or software; or (ii) for any costs or expenses incurred by the user arising from or in relation to the preparation or submission of bids. The use of this Site including, but not limited to, the preparation and submission of bids by the user, is at the sole risk and expense of the user. Confidentiality All information and data contained within STAR is considered confidential. The use of STAR is subject to Bayer CropScience Inc. confidentiality agreement. Please review our confidentiality agreement, which also governs the Site, data collection and information contain within. Electronic Communication Visiting STAR or sending e-mails to STAR constitutes electronic communications. You consent to receive electronic communications and you agree that all agreements, notices, disclosures and other communications that we provide to you electronically via email and on the Site, satisfy any legal requirement that such communications be in writing. Your Account If you use this Site, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer, and you agree to accept responsibility for all your activities that occur under your account or password. You may not assign or otherwise transfer your account another person or entity. You acknowledge that Bayer CropScience Inc. is not responsible for third party access to your account the results from theft or misappropriation of your account. Bayer CropScience Inc. and its associates reserve the right to refuse or cancel service, terminate accounts, or remove or edit content in our sole discretion. Cancellation Cancellation of your account must be in writing to the database administrator for STAR.
